The name of this organization is Amendment Now.
Amendment Now is a nonprofit organization dedicated to empowering citizens to advocate for constitutional amendments that restore fairness, transparency, accountability, and equality to American governance. The organization seeks to educate the public, foster grassroots engagement, and organize efforts to propose and ratify constitutional amendments in accordance with the U.S. Constitution.
Membership in Amendment Now is open to any individual who supports the mission of the organization and abides by its Code of Conduct.
1.General Members: Individuals who actively support the organization through participation and advocacy.
2.Voting Members: Members who contribute financially or volunteer a minimum number of hours as determined by the Board of Trustees.
1.General members may attend events, receive updates, and participate in educational activities.

2.Trustees may serve no more than two (2) consecutive terms but may be reelected after a one-term break.

The Board of Trustees is responsible for:
1.Overseeing the organization’s activities and ensuring alignment with its mission.
2.Approving budgets, policies, and strategic plans.
3.Appointing and evaluating the Executive Director.
4.Ensuring compliance with legal and ethical standards.
1.The Board shall meet at least quarterly.
2.A quorum for Board meetings shall be a majority of the trustees.
3.Decisions shall be made by a majority vote unless otherwise specified.
A trustee may be removed by a two-thirds (2/3) vote of the Board for misconduct, failure to fulfill duties, or actions contrary to the organization’s mission.
The officers of Amendment Now shall be:
1.Chairperson: Presides over Board meetings and represents the organization publicly.
2.Vice Chairperson: Assists the Chairperson and assumes duties in their absence.
3.Secretary: Maintains meeting minutes, organizational records, and member communications.
4.Treasurer: Oversees financial records, prepares budgets, and ensures compliance with financial policies.
1.Officers shall be elected by the Board of Trustees at the first meeting following the annual meeting.
2.Officers shall serve one-year terms and may be reelected for consecutive terms.
1.Executive Committee: Composed of the Chairperson, Vice Chairperson, Secretary, and Treasurer. Handles urgent matters between Board meetings.
2.Finance Committee: Oversees budgeting, financial reporting, and fundraising efforts.
3.Outreach and Education Committee: Develops and implements programs to educate the public and engage supporters.
The Board may establish temporary committees to address specific tasks or projects.
An annual meeting of the membership shall be held to:
1.Elect trustees.
2.Present the annual report and financial statements.
3.Discuss the strategic direction of the organization.
Special meetings may be called by the Board Chairperson or by a petition of at least 10% of voting members.
Notice of meetings shall be provided to members at least 14 days in advance and shall include the agenda.
The fiscal year of Amendment Now shall be from January 1 to December 31.
An annual budget shall be prepared by the Finance Committee and approved by the Board of Trustees.
1.The organization’s finances shall be audited annually by an independent auditor.
2.Financial statements shall be made available to members upon request.
All trustees, officers, and staff must disclose any potential conflicts of interest and recuse themselves from decisions where a conflict exists.
Proposed amendments to the bylaws may be submitted by any voting member or trustee.
1.Amendments must be approved by a two-thirds (2/3) vote of the Board of Trustees.
2.Amendments must then be ratified by a majority vote of voting members at the annual meeting or a special meeting.
In the event of dissolution, all remaining assets shall be distributed to a nonprofit organization with a mission aligned with Amendment Now’s purpose, as determined by the Board of Trustees and in compliance with applicable laws.
Amendment Now does not discriminate based on race, ethnicity, gender, sexual orientation, religion, disability, or socioeconomic status in any of its activities, membership, or employment practices.
Trustees, officers, and staff shall be indemnified to the fullest extent permitted by law for actions taken in good faith on behalf of the organization.
All members, trustees, and staff are expected to adhere to Amendment Now’s Code of Conduct, which promotes respect, integrity, and accountability.
